When the EU authorities have required large divestments in order to approve a merger or acquisition, there are many examples of companies that have abandoned the entire deal. The stated reason is usually that the disadvantages of divestments outweigh or destroy the advantages of the deal as a whole. We have investigated why and under which circumstances it might be economically rational not to go through with M\&A deals that require large divestments. This has been done by identifying the problems that can arise from divestments, and the underlying reasons for these problems. Our research has taken the form of a multi-case study of the pulp and paper industry, where we have interviewed managers directly responsible for M\&A deals requiring divestments.
