Abstract [sv]

I mervärdesskattelagen finns ett undantag för upplåtelse och överlåtelse av fastighet. Undantaget kompletteras med regler om begränsad avdragsrätt, obligatorisk skatteplikt för vissa transaktioner, frivillig beskattning av vissa uthyrningar, uttagsbeskattning för fastighetstjänster och jämkning av avdrag för investeringar i fastighet. Regelverket påverkas av EU-harmoniseringen genom mervärdesskattedirektivet. Tillsammans utgör dessa regler ett komplext regelverk som har utvecklats successivt under mer än femtio år utan något samlat lagstiftningsarbete.

Syftet med avhandlingen är att analysera undantagets utformning och effekter samt att fastställa vilket eller vilka ändamål som bäst motsvarar reglernas utformning. Den övergripande frågeställningen är om, och i så fall hur, reglerna avseende undantaget kan beskrivas som ett konsistent och koherent system som kan inordnas under ett eller flera identifierbara ändamål.

Regelverket studeras ur tre perspektiv. Det första avser reglernas utformning, där reglernas lydelse och innebörd analyseras för att klarlägga undantagets omfattning samt huruvida regelverket är konsekvent och systematiskt utformat. Det andra perspektivet avser regelverkets samlade effekter för olika slags verksamheter, i syfte att fastställa om beskattningseffekterna för konsumenter och företag framstår som konsistenta och möjliga att inordna under gemensamma ändamål. Det tredje perspektivet avser reglernas ändamål, det vill säga de skäl som kan anses motivera att regelverket har införts och bibehållits. Det är ändamålen på systemnivå som utgör det huvudsakliga föremålet för analysen.

I avhandlingen används rättsdogmatisk metod och forskningsmaterialet utgörs av de traditionella rättskällorna: författningar, rättspraxis, förarbeten och doktrin. Ändamålen identifieras dels genom analys av reglernas ordalydelse, systematik och effekter, dels genom analys av uttalanden om ändamål i förarbeten och praxis. Dessa delar vägs därefter samman för att dra slutsatser avseende ändamålen.

Avhandlingens hypotes är att det finns ett eller flera övergripande ändamål med undantaget och att dessa kan identifieras genom analys av de traditionella rättskällorna. Analysen är av praktisk betydelse, bland annat eftersom regler i oklara fall behöver kunna tolkas mot bakgrund av det övergripande systemet och reglernas ändamål. Om ändamålen kan fastställas kan de tas till ledning för att fastställa undantagets omfattning och bidra till ökad koherens i rättstillämpningen. Insikter om systematik och ändamål underlättar även för lagstiftaren att utforma ny lagstiftning som är förenlig med det befintliga regelverket.

Abstract [en]

The Value Added Tax Act (mervärdesskattelagen) contains an exemption for the sale and lease of immovable property. This exemption is supplemented by rules on limited right of deduction, mandatory taxation of certain transactions, optional taxation of certain leases, deemed supply taxation for property services, and adjustment of deductions for investments in immovable property. The exemption is also affected by the rules of the EU VAT Directive. Together, these rules constitute a complex regulatory framework that has developed piecemeal over more than fifty years without any comprehensive legislative effort.

The purpose of the dissertation is to analyse the design and effects of the exemption, and to identify which legislative purpose best accounts for the way the rules are designed. The main research question of the dissertation is whether the rules on the exemption for immovable property can be described as a consistent and coherent system capable of being organised under one or more identifiable purposes.

The regulatory framework is examined from three perspectives. The first concerns the design of the rules, whereby the wording and meaning of the rules are analysed in order to clarify the scope of the exemption and whether the regulatory framework is consistently and systematically designed. The second perspective concerns the aggregate effects of the regulatory framework on various types of activities, with the aim of determining whether the taxation effects for consumers and businesses appear consistent and capable of being subsumed under common purposes. The third perspective concerns the purposes of the rules, that is, the reasons that justify the introduction and retention of the rules. It is the purposes at the systemic level that constitute the primary object of analysis.

The dissertation employs a legal-dogmatic method, and the research material consists of the traditional legal sources: legislation, case law, preparatory works, and legal doctrine. The purposes are identified partly through analysis of the wording, systematics, and effects of the rules, and partly through analysis of statements regarding purposes in preparatory works and case law. These components are subsequently weighed together to draw conclusions regarding the purposes.

The hypothesis of the dissertation is that there are one or more overarching purposes underlying the exemption, and that these can be identified through analysis of the traditional legal sources. The analysis is of practical significance. In unclear cases, rules may need to be interpreted against the background of the overarching system and the purposes of the rules. If such purposes can be established, they may therefore serve as guidance for determining the scope of the exemption and contribute to increased coherence in the application of the law. An understanding of the underlying systematics and purposes also assists the legislator in designing new legislation compatible with the existing regulatory framework.
